Welcome to the St Lou Fringe 2024 STLFringe FESTIVAL. This contract contains pertinent information for participation in this year’s STLFringe FESTIVAL.
President and Artistic Director, Matthew R. Kerns, MFA will be your contact for the 2024 STLFringe FESTIVAL and you may reach out to him directly at matt@stlfringe.org during your STLFringe FESTIVAL journey.
The producing slot in the St Lou Fringe is not secured by the independent producer until they have completed the following:

NOTE: The aforementioned must be completed by April 18, 2024.
Once the STLFringe FESTIVAL performance slot is secured, you will become an independent producing artist/contract artist in the 2024 STLFringe FESTIVAL.
COVID-19: The world-wide spread of the coronavirus (COVID-19) may require
St Lou Fringe to make changes to the structure of the festival including without limitation, potentially, a hybrid festival where some shows are performed in-person and others are performed and distributed online (“Virtual Performances”) or a festival comprised entirely of virtual performances. St Lou Fringe has sole discretion to make decisions regarding all facets of the festival but will endeavor to communicate production changes and pertinent information to producers in a timely fashion.
If the primary contact (whom we consider to be the show’s producer) for a company is unable to continue with the production, St Lou Fringe reserves the right to remove the production from STLFringe FESTIVAL and apply the appropriate withdrawal policy. Companies accepted into STLFringe FESTIVAL cannot sell or transfer their spot in the STLFringe FESTIVAL to another company. If a company/individual is found to be in violation of any of the St Lou Fringe STLFringe FESTIVAL’s application/participation policies, the applicant may be removed from participant status forfeiting all production fees.
Producer Payment: All producers will submit a main payee PayPal handle on their registration from. All ticket sales raised for their specific production will be sent via PayPal to that handle. Ticket sales will be distributed no later than 90 days post STLFringe FESTIVAL.
Withdrawal: All notices of withdrawal must be made in writing and emailed to matt@stlfringe.org signed by the primary contact. No refunds will be issued.
At no time shall any artist, producer, technician, or other person associated with a producing company contact any press or venue in partnership with St Lou Fringe. Failure to abide by this will result in the immediate forfeiture of the producing company’s slot with no refund of production fees.
St Lou Fringe reserves the right to cancel secured contracts should circumstances arise necessitating a cancellation, including: failure to comply with the terms of this agreement, or the policies, procedures, and safety guidelines set forth by St Lou Fringe; failure to act in the best interest of St Lou Fringe; failure to comply with all applicable laws of the State of Missouri and the City of St. Louis; or failure to comply with any venue- specific rules or guidelines.
Unforeseen Circumstances: If St Lou Fringe events or participant performances are delayed, interrupted, or prevented, or cancelled by reason of an act of nature, fire, flood, war, public disaster, strikes, labor difficulties, governmental enactment, regulation or order, certified illness, epidemic, pandemic or any other cause beyond St Lou Fringe’s control, St Lou Fringe will not be liable for any loss of revenue or expenses incurred. St Lou Fringe’s decisions regarding timing or cancellations of all or any part of any STLFringe FESTIVAL events shall be at the sole discretion of St Lou Fringe.
Venue Expectations: All staff, players, performers, etc., associated with the producing company are expected to treat venues, green rooms, storage spaces, and any other physical space provided by St Lou Fringe with the utmost care. Any damages caused by the producing company and any of its associated participants are the financial responsibility of that company to repair, and will be discussed with and provided to that company’s producer in writing. As necessary, damages that are unpaid may be deducted from artist ticket sales and treated as outstanding debt to St Lou Fringe.
Mandatory Dates: The following are mandatory dates that must be kept by all producers to remain a part of STLFringe FESTIVAL. Failure to comply with these dates is grounds for removal from the festival.
April 18, 2024 – All production fees and contracts due
Electronically signed contracts and submitted production fees, via the stlfringe.org website are due on or before this date.
May 16, 2024 – Technical and Promotional Questionnaire Due

Further, the St Lou Fringe team may contact producers and selected performers for marketing, social media, broadcast media, and other advertising and publicity efforts.
Every producer is expected to provide a company or personal biography, not to exceed 250 words, and a digital photo for promotional purposes.
All promotional materials MUST include the provided STLFringe FESTIVAL info block.

You must be available for the entirety of your technical rehearsal and performances dates agreed upon with St Lou Fringe. Shows run: Tuesday, 5:30PM-10:00PM, Wednesday, 5:30PM-10:00PM, Thursday, 5:30PM-10:00PM; Friday 4:00PM-12:00AM; Saturday 10:00AM-12:00PM; Sunday 10:00AM-6:00PM

For shows being performed in-person: St Lou Fringe agrees to provide lighting equipment and sound equipment that will allow the playback of a CD or MP3 (capable of sound playback only when properly formatted in QLab/Go Button, with 3.5mm jack), audience seating, and technical staff to run the performance at each venue.

For Virtual Performances: St Lou Fringe agrees to provide a platform for internet distribution of a pre-recorded shows on our website with no specific STLFringe FESTIVAL calendared time. Further, shows performed live to Zoom will be calendared and performed during the STLFringe FESTIVAL.
More specific requests must be brought to the attention of the St Lou Fringe Team as soon as possible, and all reasonable requests will be met, if possible. Technical staff may include a light board operator and a sound board operator or, for Virtual Performances, technical assistance in recording a production and transmitting such recording in a fashion acceptable to St Lou Fringe Team. St Lou Fringe is solely responsible for hiring and paying technical staff. Dimensions and other details vary from venue to venue. St Lou Fringe cannot guarantee a particular venue for any performer. Performers are responsible for their own sets, costumes, properties, and may provide other technical equipment with approval form the St Lou Fringe Team. Performers may wish to provide their own person to call cues.
Producers will be provided their assigned location and a basic floor plan of the performance space and room at Professional Development Day #1. Venue assignments are subject to change and may, in the sole discretion of St Lou Fringe Team, be moved to another venue. Please see the package options at the link below:

Ticket Prices and Proceeds: As an independent producer, you are entitled to receive a portion of all tickets sold to your performance based on the festival package you select. Please select one of the following options:
Platinum Package - $400.00

Gold Package - $300.00
3 Shows & $8 back to producer per ticket sold to your show
Silver Package - $200.00
2 Shows & $7 back to producer per ticket sold to your show
Bronze Package - $100.00
1 Show & $6 back to producer per ticket sold to your show
Virtual Package - $200.00
2 Shows performed live to zoom & $6 back to producer per ticket sold to your show
Streaming Package - $100.00
Released at stlfringe.org & $2 back to producer per ticket sold to your show
St Lou Fringe is authorized to issue complimentary tickets across the festival at no payout to the independent producer. All STLFringe FESTIVAL participating artists can attend any performance with available seats at no cost, and no payment is made on these tickets to the independent producer. As a producer, you will receive 2 comp tickets to your show which can be used across any of your performances. The price of tickets for the St Lou Fringe non-headline acts are set at $15.
Independent Producing Artist shall be entitled to ticket sales in the amount set forth above for any post-festival ticket sales to their performance.
All shows must be exclusive rights events or distribution limited. Actors equity members are responsible for their own waivers. St Lou Fringe and the STLFringe FESTIVAL program do not act as a liaison for AEA.
Choice of Law: This contract should be interpreted by the laws of the State of Missouri.
Modification of Contract: All requests to change or modify this contract must be made in writing to St Lou Fringe President and Artistic Director, Matthew R. Kerns, MFA.
Venues and Performers are not to contact each other directly, and not to make any agreements independent of St Lou Fringe. Any contract or agreements entered into between a Venue and a Performer outside of St Lou Fringe’s knowledge will not be honored by St Lou Fringe and will be in direct violation of the requirements of this Agreement.
By signing below, you are indicating that you have:
Read, understood, and agreed to all St Lou Fringe policies and procedures.
Please retain a copy of this contract for you records.
In order to be a participant in the St Lou Fringe Activities, you must execute this waiver and release of liability form. By signing this document, you acknowledge that there are risks and hazards involved in participating in the activities sponsored by St Lou Fringe, in matters leading to and including your performance, including but not limited to: travel to and from event sites, hazards at the site itself, sickness, disease, and any and all hazards of your own performance. By signing this document you agree to assume all the risks and hazards related to your participation (including others acting on your behalf) in these St Lou Fringe activities, and you agree that you or others acting on your behalf hereby release, and will not hold other participants or St Lou Fringe or any of its respective directors, officers, employees, or agents responsible.
You further agree to indemnify, and defend, St Lou Fringe and hold it harmless for any and all injury to person or property caused by you or those performing with you before, during, and after your performance.
In consideration of my opportunity to participate in the activities sponsored by St Lou Fringe between August 12-18, 2024, I,
on behalf of myself (and on behalf of my executors, administrators, heirs, next of kin, successors, and assigns), hereby assume all the risks and liability arising from my participation in these activities and hereby release other participants, St Lou Fringe, and any of its respective directors, officers, employees, or agents from any and all liability and responsibility for any injury, death, harm, or property damage caused me or by me or to or by others acting on my behalf. I acknowledge and agree that the liability I am hereby assuming may arise from negligence or carelessness on the part of persons or entities being released, from dangerous or defective equipment or property owned, maintained, or controlled by them or others, from strenuous or dangerous physical activity, from their inadequate training or preparation, or because of their possible liability without fault. I acknowledge and agree that this release from liability shall cover all loss, cost, or damage arising from or related to my participation in all St Lou Fringe activities, including any such liabilities resulting from any negligence or fault of any participants, active or passive. In consideration of my participation in these events, I hereby acknowledge and agree that I am a knowing, willful and willing participant, that this Accident Waiver and Release of Liability form may be used by St Lou Fringe and any of its respective directors, officers, employees, or agents, as well as by the venues and event sponsors or organizers, in any action arising from activities related to the St Lou Fringe events in which I participate, and that this Accident Waiver and Release of Liability form shall govern my actions and responsibilities at said events. I certify that I am physically fit and have sufficiently trained for participation in these St Lou Fringe activities.
I HAVE CAREFULLY READ THIS AGREEMENT AND FULLY UNDERSTAND ITS CONTENTS. I AM AWARE THAT THIS FORM IS A WAIVER, RELEASE OF LIABILITY AND INDEMNITY AGREEMENT AND A LEGALLY BINDING CONTRACT WHICH I AM SIGNING OF MY OWN FREE WILL.
I hereby certify that I have read this document and that I understand its content. This form will be accepted by agents of St Lou Fringe and Missouri law shall apply to this willful participations and release of liability and indemnity form.
